THE SOLE USE OF THE WEBSITE GRANTS THE PUBLIC USER (HEREINAFTER REFERRED TO AS THE 'USER', THE 'USERS' OR THE “INTEGRATED”) AND IMPLIES THE FULL AND UNCONDITIONAL ACCEPTANCE OF EACH AND EVERY ONE OF THE GENERAL AND PARTICULAR CONDITIONS INCLUDED IN THESE TERMS AND CONDITIONS OF USE IN THE VERSION PUBLISHED AND ADMINISTERED BY THE HOLDER, AT THE VERY MOMENT THE USER ACCESSES THE PAGE. ANY MODIFICATION TO THESE TERMS AND CONDITIONS WILL BE MADE WHEN THE HOLDER DEEMS APPROPRIATE, BEING THE SOLE RESPONSIBILITY OF THE USER TO MAKE SURE TO TAKE KNOWLEDGE OF SUCH MODIFICATIONS.

De esta misma forma, será considerado como USUARIO a cualquier persona, física o moral, de cualquier naturaleza que tenga el carácter de Cliente de EL TITULAR en términos de EL CONTRATO y que ingrese a [https://www.globalgatewaymexico.com] y haga uso de dicha página.

GLOBAL GATEWAY MEXICO is a trademark of THE HOLDER, therefore the USER is prohibited to modify, alter or delete, either in whole or in part, the notices, trademarks, trade names, signs, advertisements, logos or in general any indication that refers to the HOLDERship of information contained in the site [https://www.globalgatewaymexico.com].

2.3.- EL TITULAR se reserva el derecho de bloquear el acceso o remover en forma parcial o total, toda información, comunicación o material que a su exclusivo juicio pueda resultar: (i) abusivo, difamatorio u obsceno, (ii) fraudulento, artificioso o engañoso, (iii) violatorio de derechos de autor, marcas, confidencialidad, secretos industriales o cualquier derecho de propiedad intelectual de un tercero, (iv) ofensivo o (v) de cualquier forma contravenga lo establecido en este Convenio. Si el USUARIO desea obtener mayor información de un tema en específico proveído por EL TITULAR, el USUARIO deberá consultarlo directamente con él y/o con un especialista en la materia de que se trate.

3.- On registration and related applications.

3.2.- El USUARIO reconoce y acepta que el solo registro y envío de las solicitudes antes señaladas no generan ningún vínculo entre este y EL TITULAR, por lo que EL TITULAR no adquirirá ninguna obligación ni responsabilidad para con el USUARIO por el simple registro y envío de la solicitud correspondiente. Lo anterior, bajo el entendido de que la posibilidad que tiene el USUARIO de registrarse y enviar esta solicitud no constituye ningún tipo de oferta de carácter vinculante de parte de EL TITULAR.

3.3.- EL TITULAR se reserva en todo momento el derecho de evaluar si el USUARIO cumple con las condiciones; cualquiera que estas sean, a fin poder adquirir el carácter de Cliente dentro del esquema “Contrato de Consignación y Comisión Mercantil”, sin que ello se entienda en ningún momento como un acto discriminatorio, pues EL TITULAR debe analizar de forma pormenorizada y detallada si se encuentra en posibilidades de prestar a el USUARIO los servicios especializados referidos en EL Contrato.

3.5.- El USUARIO acepta que para el envío de la solicitud respectiva, EL TITULAR puede recabar de estos datos personales consistentes en: nombre completo, domicilio, teléfonos de casa, oficina y/o celular, correo electrónico, datos empresQuicksandes y patrimoniales, información bancaria y análogos, respecto de los cuales el USUARIO otorga su consentimiento para ser tratados por EL TITULAR para efectos de la generación, envío y evaluación de la solicitud respectiva. A este respecto se pone a disposición del USUARIO el “Aviso de Privacidad” respectivo, en términos de lo que más adelante se señala en este convenio.

3.10.- El USUARIO acepta y reconoce que los datos que proporcione en la solicitud serán los correctos y que, en caso de haber proporcionado información errónea, inapropiada o falsa a EL TITULAR, con la finalidad de hacerse de los servicios especializados y/o a obtener un lucro indebido, se estaría cometiendo una conducta ilegal, por lo que desde ese momento EL TITULAR se reserva el derecho de iniciar las acciones a que haya lugar ante las autoridades competentes.

El USUARIO reconoce y acepta que dichos Términos Adicionales forman parte del presente Convenio para todos los efectos legales a que haya lugar.

12.3.- In particular, [https://www.globalgatewaymexico.com] does not guarantee that USERS use the Portal, Services and Content in accordance with these General Conditions and, where appropriate, the applicable Special Conditions, nor that they do so diligently and prudently.[https://www.globalgatewaymexico.com] is not obliged to verify and does not verify the identity of USERS, nor the veracity, validity, completeness and/or authenticity of the data that Users provide about themselves to other Users.

12.3.- En particular, [https://www.globalgatewaymexico.com] no garantiza que los USUARIOS utilicen el Portal, los Servicios y los Contenidos de conformidad con estas Condiciones Generales y, en su caso, las Condiciones Particulares aplicables, ni que lo hagan de forma diligente y prudente.[https://www.globalgatewaymexico.com] tampoco tiene la obligación de verificar y no verifica la identidad de los USUARIOS, ni la veracidad, vigencia, exhaustividad y/o autenticidad de los datos que los Usuarios proporcionan sobre sí mismos a otros Usuarios.

12.4.- THE HOLDER ASSUMES NO LIABILITY FOR DAMAGES OF ANY KIND THAT MAY ARISE FROM THE USE OF SERVICES AND CONTENT BY USERS OR THAT MAY ARISE FROM THE LACK OF ACCURACY, VALIDITY, COMPLETENESS AND / OR AUTHENTICITY OF THE INFORMATION THAT USERS PROVIDE TO OTHER USERS ABOUT THEMSELVES AND, IN PARTICULAR, BUT NOT EXCLUSIVELY, FOR DAMAGES OF ANY KIND THAT MAY ARISE FROM THE IMPERSONATION OF A THIRD PARTY BY A USER IN ANY KIND OF COMMUNICATION MADE THROUGH THE PORTAL.

12.4.- EL TITULAR NO ASUME RESPONSABILIDAD ALGUNA POR LOS DAÑOS Y PERJUICIOS DE TODA NATURALEZA QUE PUDIERAN DERIVARSE DE LA UTILIZACIÓN DE LOS SERVICIOS Y DE LOS CONTENIDOS POR PARTE DE LOS USUARIOS O QUE PUEDAN DERIVARSE DE LA FALTA DE VERACIDAD, VIGENCIA, EXHAUSTIVIDAD Y/O AUTENTICIDAD DE LA INFORMACIÓN QUE LOS USUARIOS PROPORCIONAN A OTROS USUARIOS ACERCA DE SÍ MISMOS Y, EN PARTICULAR, AUNQUE NO DE FORMA EXCLUSIVA, POR LOS DAÑOS Y PERJUICIOS DE TODA NATURALEZA QUE PUEDAN DERIVARSE DE LA SUPLANTACIÓN DE LA PERSONALIDAD DE UN TERCERO EFECTUADA POR UN USUARIO EN CUALQUIER CLASE DE COMUNICACIÓN REALIZADA A TRAVÉS DEL PORTAL.

13.- Assignment of Rights. the HOLDER may, at any time and when it deems appropriate, assign all or part of its rights and obligations under this Agreement. By virtue of such assignment, THE OWNER shall be released from any obligation in favor of USER established in this agreement.

13.- Cesión de Derechos. EL TITULAR podrá, en cualquier tiempo y cuando así lo estime conveniente, ceder total o parcialmente sus derechos y obligaciones derivados del presente Convenio. En virtud de dicha cesión, EL TITULAR quedará liberado de cualquier obligación a favor del USUARIO establecida en el presente convenio.

14.- Indemnification. USER agrees to indemnify OWNER, its A iliates, Suppliers, Vendors and Advisors from any action, suit or claim (including attorneys' fees and court costs) arising out of any breach by USER of this Agreement, including, without limitation, any of the foregoing:

El USUARIO está de acuerdo en indemnizar a EL TITULAR sus Afiliados, Proveedores, Vendedores y Asesores de cualquier acción, demanda o reclamación (incluso de honorarios de abogados y de costas judiciales) derivadas de cualquier incumplimiento por parte del USUARIO al presente Convenio, incluyendo, sin limitación de alguna de las derivadas:

14.4.- Violation of applicable laws or international treaties relating to copyright or intellectual property, contained or available on or through [https://www.globalgatewaymexico.com.

14.4.- De violación a las leyes aplicables o tratados internacionales relativos a los derechos de autor o propiedad intelectual, contenidos o disponibles en, o a través de [https://www.globalgatewaymexico.com].

5.- Termination. THE HOLDER reserves the right, at its sole discretion, and without notice or notification to USER, to:

15.2.- Descontinuar o dejar de publicar definitivamente [https://www.globalgatewaymexico.com]sin responsabilidad alguna para EL TITULAR, sus Afiliados o Proveedores.

16.- Subsistence.

16.- Subsistencia.

16.1.- These terms and conditions, as well as the Additional Terms constitute the entire agreement between the parties, and supersede any other agreement or arrangement previously entered into. Any clause or provision of this Agreement as well as of the Additional Terms, legally declared invalid, shall be eliminated or modified, at the option of THE HOLDER, in order to correct its defect or flaw. However, all other clauses or provisions shall remain in full force, e ect and validity.

16.1.- Estos términos y condiciones, así como los Términos Adicionales constituyen el acuerdo íntegro entre las partes, y sustituye cualquier otro acuerdo o convenio celebrado con anterioridad. Cualesquier cláusula o provisión del presente Convenio así como de los Términos Adicionales, legalmente declarada inválida, será eliminada o modificada, a elección de EL TITULAR, a fin de corregir su vicio o defecto. Sin embargo, el resto de las cláusulas o provisiones mantendrán su fuerza, obligatoriedad y validez.

17.- No Waiver of Rights. Inactivity on the part of THE HOLDER, its A iliates or Suppliers to exercise any right or action derived from this Agreement shall at no time be construed as a waiver of such rights or actions.

17.- No Renuncia de Derechos. La inactividad por parte de EL TITULAR, sus Afiliados o Proveedores al ejercicio de cualquier derecho o acción derivados del presente Convenio, en ningún momento deberá interpretarse como renuncia a dichos derechos o acciones.

18.- Applicable Law and Jurisdiction. In the event of a dispute arising out of or related to this agreement, the parties agree to attempt to reach an amicable settlement of such dispute through mediation; such mediation shall take place in accordance with the Mediation Regulations of the National Chamber of Commerce of Mexico City, Mexico, in e ect at the time of the commencement of the mediation. Otherwise, the parties may resort to the Courts of Mexico City, Mexico, waiving any other jurisdiction that may correspond to them, and this Agreement shall be interpreted in accordance with the laws of the Republic of Mexico.

18.- Legislación Aplicable y Jurisdicción. En caso de que se presente una controversia que se derive del presente contrato o se relacione con él, las partes se obligan a tratar de llegar a una transacción amistosa de esa controversia mediante la mediación; ésta tendrá lugar de conformidad con el Reglamento de Mediación de la Cámara Nacional de Comercio de la Ciudad de México, vigente al momento del inicio de la mediación. De no ser así, las partes podrán acudir ante los Tribunales de la Ciudad de México, México, renunciando a cualquier otro fuero que pudiera corresponderles, quedando este Convenio a la interpretación de acuerdo con las leyes de la República Mexicana.

The full text of this contract, as well as the documents derived from it, including annexes, have been drawn up in Spanish and English, both versions being considered official, although the Spanish language version shall have priority in its interpretation.

El texto íntegro de este contrato, así como los documentos que se deriven del mismo, inluido anexos, han sido redactados en los idiomas español e inglés, considerando ambas versiones como oficiales, si bien se fija prioritaria su interpretación la versión en idioma español.
